Disclaimer Cameo ‘Vigilant’ software only aims at facilitating the listed companies to maintain the database of insiders and designated persons with time stamping and audit trail for any modifications made in the database. Alerts given, options to load event of UPSI sharing, Disclosure reporting, reports on transaction of shareholding etc., are given as additional features only, based on the bendem download from depositories & Register of Members. In case of non-receipt of beneficiary download from depository for any reason or the beneficiary data not getting successfully uploaded into the software due to any technical glitch , if the transaction made by the insiders do not get reported, Cameo will not be held responsible in any way. The transactions/ shareholding position of an insider will be available / can be generated from the software only after the date of addition of an insider / designated person in the software as an approved record. If any report is generated wrongly due to wrong input given by the company, Cameo will not be responsible. Also the primary responsibility of monitoring the shares transacted by insiders lies with the company and this software is only an enabling tool to monitor. If Vigilant is used as “on premise” software, the responsibility of taking data backup will be that of the company’s and Cameo will not have any back up of the data at its end and any breach of security due to compromise on clients server, cameo will not be held responsible. Cameo does not take any responsibility if there is a breach of regulation due to the upload of UPSI in this software.
